MYEG黄天顺 持4上市公司股权 MYEG's Wong Thean Soon owns 4 listed companies' stakes

 


Wong Thean Soon ('黄天顺') is a graduate from the National University of Singapore with a Bachelor Degree in Electrical Engineering and has accumulated more than 20 years of experience in the ICT industry with his involvement in designing, implementing and maintenance of communication applications on the Internet in various technology companies, both local and abroad.



He commenced his career in the ICT industry in 1995 with Cybersource Pte Ltd, Singapore as co-founder and Executive Director of the company. During his tenure there, he oversaw the development of PictureMail, an integrated graphical e-mail package, which was licenced to Sony, among others. He was also in charge of developing and marketing an additional product, the Global Messaging System, which was licensed to paging operators in the Asian region including EasyCall International of Australia and Lenso Paging of Thailand. 


He subsequently founded Tecnochannel Technologies Sdn Bhd in 1997 and formed marketing and manufacturing partnerships with a range of MNCs to develop and market Internet devices, where such devices were successfully marketed in China. He successfully listed Tecnochannel Technologies Sdn Bhd on the American Exchange via the holding company known as MyWeb Inc.com in 1999.


He resigned from the Chief Executive Officer position at Tecnochannel Technologies Sdn Bhd in 2000 and co-founded MYEG Group in the same year. He was one of the pioneering members of MYEG Group and has been instrumental in establishing and managing the operations of MYEG Group. He is currently the Group Managing Director of MY E.G. Services Berhad, a company listed on Bursa Malaysia Securities Bhd. He also sits on the board of several private limited companies.


Recently, Wong had emerged as a substantial shareholder in Widetech when he purchased 4.17 million shares or a 9.33% stake on May 12, 2021 in an off-market deal.


He is deemed interest in 1.32 million shares or 2.96% stake via Asia Internet Holdings Sdn Bhd.


Currently, he holds a stake in 4 listed companies in Bursa Malaysia: Excel Force MSC Berhad (EFORCE), Heitech Padu Berhad (HTPADU), MY E.G. Services Berhad (MYEG) & Widetech (Malaysia) Berhad (WIDETEC). He owns shares in these companies indirectly through Asia Internet Holdings Sdn Bhd.

安康(ANCOM, 4758)宣布暂停交易,大股东兼执行主席拿督萧家伟再成注目,在进行重大企业行动前,萧家伟於过去数个月在公开市场积极吸购自家股票,重新崛起成为最大股东。



截至四月二十二日为止,萧家伟共持有安康21.714%股权,包括直接持有12.177%和间接持有9.537%。


萧家伟持有的股权,已超过另一名大股东太平洋东方(P&O, 6009),根据安康年报资料。太平洋东方持有安康14.64%股权。


太平洋东方是一家普通保险公司。


它在安康的投资属於"静态投资",多年来从安康获得可观股息收益。


太平洋东方在一九九五年就於大马交易所主要交易板公司上市,是一家老牌上市公司,除了保险业务,这家公司近年的投资项目很广,投资的领域包括借贷丶科技IT 丶金融软件丶网络保安等。


除了安康之外,萧家伟也掌控安康物流(ANCOMLB, 0048)和耐力士(NYLEX,4944)。

Eg Kah Yee, a Malaysian, male, aged 61, is the founder, chairman / managing director of UCrest Berhad (UCREST). He was appointed to the Board on 7 May 1998. 



UCREST is a technology provider company which engages in network design, product development, and software development. The firm provides a solution for broadband, wireless and networking products, and services. The company provides technical services to customers such as Telco, ISP, broadband operators, hotel operators, property developers, enterprises and wireless hotspot operators. The groups are engaged in projects related to networks, security systems, and the Internet of Things (IoT) Cloud software application areas. Majority of the revenue comes from the sale of the Internet of Things (IoT) Cloud hardware platform. The company makes its major revenue from Sales of Goods segment and has operations in Russia, Malaysia, and Singapore.


UCREST formerly known as Palette Multimedia Berhad (PALETTE). The former took over the listing status of the latter on 6 December 2017.


Currently, he also sits on the board of Key ASIC Berhad (KEYASIC) and various private limited companies. He was appointed to the board of directors of KEYASIC as a non-independent non-executive chairman on 15 June 2006. He was redesignated as the chief executive officer on 30 October 2014. 


His younger brother, Eg Kaa Chee, also sit on the board of the company as non-independent non-executive director.

MARCO陈华春 持6上市公司股权 MARCO's Tan Sri Robert Tan Hua Choon owns 6 listed companies' stakes

 


TAN Sri Robert Tan Hua Choon, the chairman and non-executive director of Marco Holdings Bhd. is widely known as the “Casio King” — he is the first and only distributor in the country of the brand’s watches and calculators. But many would not know that the elusive tycoon once went door to door persuading retailers to sell his products.



Marco distributes Casio watches, calculators, digital cameras and musical instruments — imported from Japan — in Malaysia. Tan is the single largest shareholder with 25.64% equity interest.


His history with the Casio brand goes back to 1970.


According to him, Marco’s business relationship with the Tokyo-based Casio Computer Co Ltd is built on trust and faith, and not a fixed contract with a stipulated timeframe.


Marco’s management team still visits Casio regularly and both sides remain in constant communication.


When Tan started selling Casio watches and calculators 51 years ago, nobody had much confidence in Japanese products. The Japanese cars brougt into the country earlier were even jokingly referred to as “Milo cans”.


Fortunately, he managed to pique the public’s interest and get them interested in Casio watches as digital timepieces were not very common in those days.


As for the perception issue, Japanese products became known for their quality instead of being objects of derision. Japanese cars won fans gradually for their quality and reliability and were no longer mocked as being “Milo cans”.


Tan acknowledges that there are many players in the market who want to get hold of the Casio distributorship, but he is confident Marco is more than capable of defending its turf.


But even if a competitor gets the distributorship, he points out that it would be difficult to build as strong a network as Marco’s. Today, the company has a nationwide distributorship network comprising about 2,300 dealers.


On future trends, Tan believes watches are not likely to be replaced by smartwatches as they are a fashion item and not worn just to keep time.


Low-profile Tan Sri Robert Tan Hua Choon is a self-made tycoon who has been involved in a wide range of businesses, including manufacturing, marketing, banking, shipping, property development and trading.


Apart from being known as the “Casio king,” he is also called the small cap king because of the substantial stakes he has built up in small listed companies, including Marco Holdings Bhd (MARCO), Jasa Kita Bhd (JASKITA), JKG Land Bhd (JKGLAND), FCW Holdings Bhd (FCW) and Computer Forms (M) Bhd (CFM).


He is currently the chairman of all these companies except for Computer Forms.


Tan, 80, came to the fore in 2009 when he undertook a surprise takeover of sanitary waremaker GBH, buying out the founding Goh family after a fierce shareholder tussle. He then sold his controlling stake to Datuk Seri Edwin Tan Pei Seng and his younger brother Datuk Seri Godwin Tan Pei Poh in September 2017, and the company renamed to Paragon Globe Bhd (PGLOBE) in April 2018. He still owns a 18,332,600 shares or 9.821%% stake in the company.


The seasoned businessman was back in the limelight seven years ago when he exited Malaysia Aica Bhd (Maica) and PDZ Holdings Bhd.


In early 2014, he sold his entire stake in Maica to Tan Sri Ter Leong Yap for RM33.39 million, paving the way for the wood product manufacturer to become a property developer, now known as Sunsuria Bhd (SUNSURIA).


Subsequently, Tan exited PDZ in April 2014, with Pelaburan MARA Bhd emerging as a substantial shareholder in the shipping agency and vessel operator.


Today, Tan still has 25.64% equity interest in Marco (distributor of Casio products), 40.33% in Jasa Kita (distributor of premium industrial tools), 30.61% in FCW (wholesaler of cosmetics, toiletries and pharmaceutical products).


He also has a 15.41% stake in property firm JKG Land, formerly known as Keladi Maju Bhd. The company has been involved in property development for more than three decades, building mainly residential units, offices and light industrial factories.


Tan surfaced October 2016 in Computer Forms as a substantial shareholder with a 64.969% stake. The company prints and distributes computer, stock and specialised forms.


26 August 2020, Tan sold his stake in GPA to GALAXY COAST VENTURES LIMITED and soon renamed to Joe Holdings Bhd (JOE).

温有能掌控逾40家上市公司? Kenneth Vun Yun Lun owns over 40 listed entities?


ASTUTE market observers would have noticed on the local bourse a group of individuals, supposedly acting in concert, who have amassed shares in more than 20 publicly traded companies. These companies — linked via shareholding and directorships — are often on the most actively traded list, with huge, fluctuating share prices.


However, a research indicates that while other businessmen have surfaced, the individual said to be in control of the group of companies is not officially onboard or present as a shareholder.


It is also telling that nine of the 21 companies mentioned — AT Systemization Bhd, MLabs Systems Bhd, Focus Dynamics Group Bhd, mTouche Technology Bhd, Fintec Global Bhd, XOX Bhd, M3Technologies (Asia) Bhd and NetX Holdings Bhd — have their principal place of business, head office, business office or corporate office in Menara Lien Hoe, near Tropicana Golf Country Resort in Petaling Jaya. On its website, Lambo Group Bhd states that its address is at Menara Lien Hoe, even though the address in its annual report is in Old Klang Road in Kuala Lumpur.


In 2006, Lien Hoe Corp Bhd sold Lien Hoe Tower Sdn Bhd, which owns Menara Lien Hoe, to privately held E-Globalfocus Sdn Bhd for RM1 and the assumption of RM43 million in debts.


Meanwhile, E-Globalfocus was 68%-controlled by Cubes Innovative Sdn Bhd, a company 99%-controlled by Chuah Hock Soon. Chuah and businessman Kenneth Vun @ Vun Yun Lun were charged with four others in July 2014 for allegedly manipulating DVM Technology Bhd shares in March 2006.

Vun has had several issues with the Securities Commission Malaysia and, in 2009, had to restitute RM2.496 million — being the amount of company funds that he had caused to be misused for his personal benefit, according to the regulator — to his then flagship FTEC Resources Bhd.


Since FTEC — which morphed into Tecasia Bhd and later Mangotone Bhd — was delisted, Vun has had little direct presence in the market. However, Vun’s two sisters, Carol Vun On Nei and Grace Vun Siaw Nei, hold stakes of 3.64% and 0.67% respectively in Xidelang Holdings Ltd.


While Fintec Global seems to be a prominent company at the centre of the maze, its shareholding is fragmented, with several blocks of shares parked under Sanston Financial Group Ltd. In several of the 21 companies on the list, Sanston Financial is present in the shareholding list.


Other companies that surface as shareholders in these list of companies include Global Prime Partners Ltd and Cita Realiti Sdn Bhd, a private company wholly-owned by one Kamarudin Khalil.


Other shareholders, albeit usually holding small stakes, among the 21 companies include Dato’ Sri Dr Jacky Pang Chow Huat — who, apart from a 11.84% stake in Sanichi Technology Bhd — has small stakes in DGB Asia Bhd, Focus Dynamics, MNC Wireless Bhd and Xidelang. Pang is also a director in Sanichi Technology.


Meanwhile, businessman Mak Siew Wei has 23.4% in AT Systemization, 17.07% in Green Ocean Corp Bhd and small stakes in Focus Dynamics and Xidelang. He is also a director at AT Systemization, Green Ocean and Saudee Group Bhd.


Datuk Eddie Chai Woon Chet recently acquired a 62.37% stake in restaurant operator Oversea Enterprise Bhd, and has a 6.71% shareholding in Anzo Holdings Bhd, where he is managing director and has a board position in M3 Technologies (Asia). Another name frequently seen is Datuk Kua Khai Shyuan, who, besides a 5.9% stake in mTouche Technology, has small shareholdings in Focus Dynamics, PDZ Holdings Bhd and Sanichi Technology, and has board seats on Trive Property Bhd, DGB Asia and MNC Wireless.


Former Umno treasurer and former Bank Simpanan Nasional Bhd chairman Datuk Abdul Azim Mohd Zabidi surfaces as a director in four of the companies — Fintec Global, DGB Asia, Anzo and XOX.


It is also noteworthy that companies such as Water Beaute World Bhd and WBW Global Sdn Bhd, have 1.02% and 0.42% respectively in Trive Property. These two companies were involved in get-rich-quick and fake online investment schemes.


Both these companies were reported in the past to have stakes in XOX, while WBW Global also had a substantial stake in Anzo Holdings.

报导说,调查焦点集中於一名四十岁左右神秘企业家,该名人士通过代理控制大量上市公司,但是却没有一间上市公司和他有直接关系。


THE EDGE制作一个图表,列出和这名神秘企业家有关的数十家上市公司,大多数由SANSTON FINANCIAL GROUP控制,这家公司是由香港SANSTON持有,根据这家公司官网显示,它是持有香港牌照的证券行。


THE EDGE在报导中引述一些部落格撰文指出,该名男子控仙股的规模和手法,堪称是另一个"苏启文",市场上有关该名人士操控多家上市公司的传言,流传多个月。


根据了解,有两个执法单位,即反贪污委员会和内陆税收局参与有关执法行动,突袭联和大厦,但是证券监督委员会并没有在行动中。

SC sues Vun, 6 others over DVM Tech shares – The Star 23 Jul 2014


PETALING JAYA: The Securities Commission (SC) has taken enforcement action against Kenneth Vun (pic) and six others for creating a false market in the trading of DVM Technology Bhd shares over a one-week period in March 2006.

The SC is seeking a disgorgement of all profits earned by Vun from the DVM share trades and the others, as well as a civil penalty of RM1mil from each of them. The SC is also seeking for the seven to be barred from being directors of public-listed companies and from trading on the stock exchange for a period of five years. 


The 40-something, who hails from Sabah, is also linked to an ongoing boardroom tussle at Harvest Court Industries Bhd.


This is the second time that the SC is instituting an action against Vun. In November 2009, the SC obtained an order from the High Court requiring Vun to make a restitution of RM2.49mil to FTEC Resources Bhd for using a portion of its public issue proceeds for his own benefit.  


The High Court also ordered that Kenneth Vun be further restrained from directly or indirectly managing the funds of FRB and any of the FTEC group of companies. This decision was affirmed by the Court of Appeal in 2011. Vun’s application for leave to appeal to the Federal Court was dismissed in the same year.


Vun was then the major shareholder and managing director of FTEC Resources. Vun resigned from FTEC Resources after the suit and had since then stayed away from the corporate limelight until recently.


In the civil action taken, the SC said in a statement yesterday that “that the defendants had, over a one-week period from March 14, 2006 to March 21, 2006, actively transacted in DVM shares among themselves, causing the price of the shares to artificially rise from 11 sen on March 14, 2006 to a high of 32 sen on March 20, 2006.” 


DVM is an information technology solutions and services provider listed on the ACE Market. 


The market regulator said the defendants’ actions had created a false or misleading appearance of active trading in DVM shares as well as the price of the shares.


“The week-long manipulation resulted in a surge in the volume of DVM shares, to a total of 63 million shares on March 20, 2006, compared to 3.6 million shares one week prior to the manipulation,” the SC said. The regulator added that its investigations revealed that the defendants had never traded in DVM shares prior to the material period. 


Apart from Vun, the six others named in the suit are Teng Choo Teik, Simon Lin Siang Hock, Lye Pei Ling, Chuah Hock Soon, Choong Lay Ti and Gui Boon Huat. It is understood that they were retail investors.


The SC added that the disgorgement of all profits earned by the defendants as a result of the manipulation that it sought was to be used to compensate affected investors. 


“Manipulation threatens market integrity and this continues to be a key focus area at the SC,” SC executive director of enforcement Ahmad Fairuz Zainol Abidin said in the statement. He said this case reflected the regulator’s commitment in addressing market manipulation and reiterated that it was serious in its efforts to bring offenders to book. 


In the case of Harvest Court, Vun’s name has surfaced as supposedly holding more than a 10% stake in the company and being a party linked to Datuk Eddie Chai Woon Chet, who is embroiled in the boardroom tussle with embattled chief executive of Harvest Court, Datuk Raymond Chan. 


Vun had come out to deny claims that he held any shares in Harvest Court, but Chan last week made public a taped conversation that he claimed proved that parties out to oust him controlled more than 33% of the company and were avoiding a mandatory general offer (MGO). In the recorded conversation between Chan and the person he claimed to be Chai, the latter claimed he had 33% or 34% of Harvest Court shares. In the same recording, Chai was also heard saying that Vun had 10% of Harvest Court shares and was supporting him. 


The latest revelation in the control for Harvest Court adds more spice to the boardroom battle between Chan, Chai and Vun, who are incidentally all from Sabah.


Harvest Court’s filings showed that Chai had a 20.95% interest in Harvest Court via his private investment vehicle, Zenith City Investments Ltd.


The controversy has thrust the spotlight on Vun because he does not appear to hold any shares in Harvest Court based on announcements.


Based on listing requirements, shareholders with more than 5% of a company should disclose their interest.


Chai denied last month allegations that he and his associates had a controlling stake in the company, and that he had told Chan that Vun owned 10% of Harvest Court. To back up his denial, Chai, on June 30, served a legal suit against Harvest Court and its six directors, including Chan. But on July 11, Chan filed a suit against Zenith, Chai and 32 others for their failure to make an MGO to the company’s shareholders. 


Vun, a familiar name to most stockbrokers, shot into the corporate limelight when he was in his 30s. Using funds from selling his shares in his flagship company, FTEC Resources, he had, at one time, held stakes in as many as five listed companies.

“It is also telling that nine of the 21 companies mentioned — AT Systemization Bhd, MLabs Systems Bhd, Focus Dynamics Group Bhd, mTouche Technology Bhd, Fintec Global Bhd, XOX Bhd, M3Technologies (Asia) Bhd and NetX Holdings Bhd — have their principal place of business, head office, business office or corporate office in Menara Lien Hoe, near Tropicana Golf Country Resort in Petaling Jaya. On its website, Lambo Group Bhd states that its address is at Menara Lien Hoe, even though the address in its annual report is in Old Klang Road in Kuala Lumpur.”

On approx. 15 Jan 2021, one CGS-CIMB SECURITIES (HONG KONG) LIMITED (through CGS-CIMB SECURITIES SDN BHD) held 14,582,900 shares (11.48%) (suspect1), NOMURA PB NOMINEES LTD (through DEUTSCHE BANK (MALAYSIA) BERHAD) held 8,813,000 shares (6.93%) (suspect2), SANSTON FINANCIAL GROUP LIMITED(through AFFIN HWANG NOMINEES (ASING) SDN BHD) held 6,000,000 shares (4.72%) (suspect3), and one KONG KOK KEONG (through ALLIANCE INVESTMENT BANK BERHAD) held 2,604,800 shares (2.04%) (suspect4), combined over 25.02% of Asdion Bhd issued shares.  Notably suspect1 and suspect2 had not announced to Asdion Bhd board nor Bursa Malaysia for respective shareholding position in Asdion Bhd exceed 5% substantial shareholding. KONG KOK KEONG is also a shareholder of SANICHI and Metronic, while SANSTON FINANCIAL GROUP LIMITED and the Syndicates shareholders also held shares in Mtouche, Fintec, Seacera, Focus, Lambo, and Xox, in conjunction to The Edge newspaper evidence of parties related to one MAK SIEW WEI, or suspected “ultimate Beneficial” one KENNETH VUN YUN LIUN. The Syndicates in Malaysia stock market is gaining momentum and out of hand, not only running out of stocks to churn out cash in public listed companies, but went hostile on many new public listed companies, such at latest AT Systematization Bhd (AT Bhd) on Asdion Bhd?

Scoping up new public listed companies shares, hype up Voluntary General Offer (VGO) and later use their cash in existing public listed companies to buy their own shares in other new public listed companies, becomes a flood gate in Bursa Malaysia. Malaysia financial daily The Edge did 3 special coverages on the same “mastermind” pin pointing the problem in the system in September 2020 and recently 2 articles in March 2021.

Sanston Financial Group according to Zoom Info Hong Kong authority record is a 9 staff tiny brokerage house with approx US$1 million revenue. The other vehicle Lazarus Securities PTY LTD was the off market transferee from Sanston Financial Group of the Asdion Bhd shares to camouflage the trail that Sanston Financial Group is indeed a major shareholder of AT Bhd, potential in breach of related party transaction. Carol Vun On Nei is the sister of Kenneth Vun Yun Lun, while Mak Siew Wei is the best actor acting in concert with the suspected mastermind.





The RM1 billion move?

The crunch came when the Syndicates cornered and pumped Focus Dynamics Group Bhd shares to ultra-inflated value of RM3 billion (RM3,000,000,000) after series of share issuances, on a share price of RM0.50 and NTA of RM0.0281. Cashing out through “divestment” of 1,605,197,076 shares to FINTEC GLOBAL BERHAD (through Asiabio Capital Sdn. Bhd.). To recap, Fintec Global Bhd did series of share issuance and money pump into FIntec Global Bhd is handsomely taken out through the same modus operandi. As of latest quarterly report, FIntec Global Bhd has RM1.18 billion “Investment in securities” while cash and equivalent stood at RM117 million. How did Fintec Global Bhd shareholders approved a RM1.18 billion “investment” out of RM1.34 billion total equity? The investment decision of Fintec Global Bhd if not knowingly acting in concert with the investee (Focus Dynamics Group Bhd), must be the expert of all experts delivered RM800 million “capital gain” for 31 Dec 2020 results.

The RM3 billion Focus Dynamics Group Bhd “shell” is perfect for not only Fintec Global Bhd but “many other” potential candidates within the Syndication group of companies to cash out?

Obviously the Syndicates need to find more “public listed shares” to feed the greed engine which is out of hand right now.

Bursa Money Game Last Draw?

The latest crunch came into Asdion Bhd when the same “shield” accounts CGS-CIMB Securities (Hong Kong) Limited and DB (Malaysia) Nominee (Asing) Sdn Bhd– Exempt An for Nomura PB Nominees LTD transfer the shares to 50 nominee accounts acting in same pattern and same time, obviously under same instructions, where Sanston FInancial Group transferred the shares to Lazarus Securities PTY LTD. The beneficial owner of these accounts with special interest in “penny stocks” is obviously carrying same list of nominees in all the Syndicated public listed companies. The best actor for the suspected illegal hostile is led by the same “Mak Siew Wei” riding on AT Systematization Bhd raising money from share issuances, with latest modus operandi from ESOS, naming Asdion Bhd questionable VGO as part of potential use of fund. The basket of “investments in securities” becomes perfect excuse to fool Bursa Malaysia and Securities Commission on their loophole to cause harm and damages to other public listed companies in the name of greed.

How far will these nominees acting in concert to avoid Related Party Transaction last? When the 50 nominees (including Ng Joo Bay, Wee Kok Chuan, Ong Kian Huat, shareholding in both Focus Dynamics Group Bhd and Asdion Bhd’s nominee accounts) acted in same pattern, answering to the same mastermind, the authorities are waiting for the act to pull the trigger.

The obvious related (close) parties as shown in Focus Dynamics Group Bhd 30 largest shareholders, pointing to 1 person. If not Kenneth Vun Yun Lun, could it be Carol Vun On Nei?

汤国基在三月有分几手买进建筑产业公司和合(HOHUP 5169),最新一次出手是三月廿二日,他以42.5仙价格,买进100,000股和合。

汤国基是和合大股东之一,买进这批股票後,他共持有6694万股13.53%股权。

此外,汤国基也在三月十九日和廿二日,分别买进200,000和100,000股益纳利美昌(INARI 0166)。

他的入手价分别是RM3.28和RM3.25,截至三月廿四日,汤国基共持5亿5054万股或16.49%益纳利。


1 April 2021 Updates:

Software and application developer Omesti Bhd has acquired a total of 4.94 million shares in Microlink Solutions Bhd from the open market for RM9.71 million, or an average RM1.97 per share.

In a bourse filing, Omesti said its wholly owned Omesti Holdings Bhd (OHB) had, between Sept 2, 2020 and March 31, 2021, acquired the shares, which represented 2.05% of Microlink's total number of issued shares.

Following the acquisitions, Omesti now controls 124.91 million Microlink shares, representing 51.77% equity interest in the company, via OHB.

Omesti said the Microlink shares were acquired at prevailing market prices of Microlink shares at the time of acquisitions and were funded through internally-generated funds.

“After having reviewed the investment portfolio of the company, the acquisitions provide an opportunity for Omesti to increase its stake in Microlink to 51.77%,” it said, adding that the expansion is for potential value enhancement.

Microlink is principally engaged in investment holding and provision of research and development on information technology solutions to the financial services industry.

“The board does not envisage any specific risk associated with the acquisitions, apart from the general business and global economic risks faced by Microlink, which are similar to the operational risks that Omesti is already accustomed to, given that Omesti is in the same line of business as Microlink.

“Hence, the board believes that the experience and expertise of its management team will enable the group to mitigate these risks effectively,” it said.

FINTEC陈石义 持4上市公司股权 FINTEC's Steve Tan Sik Eek owns 4 listed companies' stakes

 



Steve Tan Sik Eek is an Executive Director of FINTEC appointed on 20 June 2013. He is the appointed representative of Adamas Finance Asia Limited in FINTEC. He majored in Economics and Political Science from University of Sydney, Australia.


Steve brings with him more than a decade of experience ranging from corporate finance advisory to private equity investments. He was previously a Partner at House of Qin Ltd, a Beijing based private equity firm focused on investing in companies seeking growth funding and pre-IPO capital. Prior to that, Steve was the South East Asia Partner of Value Creation Strategies Sdn. Bhd., a Kuala Lumpur based advisory firm specialising in securing funding from a series of established North America global hedge funds, for companies listed on the regional capital markets.

拿督王子铭收购了KIP产托(KIPREIT,5280)的9.895%股权后,崛起为该集团的大股东。

王子铭是从已故拿督周乐森及KIP产托联合创办人兼非独立执行董事拿督翁国良手中购买股权后,成为该产托的大股东。

根据2021年9月14日的文告,王子铭透过持股90%的Hextar Rubber私人有限公司,在2021年9月9日通过直接商业交易购买了5000万个单位。

王子铭拥有多元化的业务组合,包括手套制造、农用化学品、家具、塑料和工业产品。

《The Edge Malaysia》财经周刊称,王子铭进军零售行业的举动很有趣,因为零售行业正受到疫情的严重影响。

据报道,消息人士称,王子铭加入KIP产托将使他能够担任保荐人,并有可能将他的工厂和仓库投资组合注入产托。

据2021年9月14日的报道,KIP产托的大股东Datin Teoh Siew Chin(已故拿督周乐森的妻子)通过场外交易脱售了2013万个单位,剩下的直接持股权为4.86%,退出大股东行列。

翁国良也脱售了2000万个单位。

完成脱售后,翁国良在该集团的直接持股权为13.55%或6848万个单位,间接持股权为2.74%或1387万个单位。

Teoh和翁国良皆是在2021年9月9日进行交易。

拿督王子铭(DATO EDDIE ONG CHOO MENG)在完成倒置收购,将大资全球(HEXTAR,5151)上市後,自2020年开始,频密展开收购行动,如今至少控制另外5家上市公司,一举一动成市场焦点。


他最新举动是买进海豚物流(COMPLET,5136)控制股权,于2021年3月5日在场外买进海豚物流的3744万8100股或29.181%股权。


王子铭是从Dolphin Assets私人有限公司手中,买入这批股权,之後,他就委任代表TEH LI KING进入董事局,成为海豚物流非独立非执行董事。


另一方面,海豚物流于2021年3月16日宣布以每股1.63令吉或总值2934万令吉的价格,向林吉灵控股收购林吉灵集团(CSCENIC,7202)的1800万股或14.94%股权。


大资全球是王子铭的旗舰上市公司。他直接持有该公司3123万8500股或3.806%股权,而通过HEXTAR HOLDINGS私人有限公司握有5亿1375万8264股或62.602%股权。


大资全球的前身为合力控股(Halex Holdings Berhad)。2017年3月杪,合力控股宣布控制权易手,王子铭的父亲拿督王顺和(DATO' ONG SOON HO)透过Weras Dinamik公司(WDSB)取得该公司43.73%股权,并建议以每股64仙全面献购剩余股权。合力控股当时发文告表示,WDSB在3月21日收购该公司1538万3400股股票或14.52%股权,以及在3月22日进一步增购2611万8599股股票或24.65%股权,出价介于60至62仙,令持股增至39.16%。


而拿督王顺和在3月22日持有484万股股票或4.57%股权。两者总共持有4634万1999股股票或43.73%股权,因此触及全购门槛,必须作出有条件强制全购行动。


现年72岁的王顺和于1985年创办大资化学公司(Hextar),从事农药化肥业务。


2019年6月10日,合力控股正式易名为现有名称。


王子铭的"成名一战"是手套股来百利(RUBEREX,7803),他在2019年底以超低价格买进控制股权,2020年新冠肺炎大爆发,手套股股价在四月开始狂飊,王子铭手上的来百利股票价值狂涨。


来百利于2020年6月22日接获Hextar树胶私人有限公司(前称为ERPStar Inc. Sdn. Bhd.)及王子铭的无条件全面献购献,他们建议以每股1.80令吉献购来百利的1亿3920万5595股。


当时,Hextar树胶及王子铭(统称联合收购方)向Seng Sheng企业私人有限公司、振兴集团(CHINHIN,5273)主席拿督斯里周明德(DATUK SERI CHIAU BENG TEIK)以及PEH LIAN HWA以每股1.80令吉的价格,收购来百利的5724万8522股或20.63%股权。


此前,联合收购方持有来百利约29.55%的股权。完成收购后,联合收购方共持有该公司的1亿3921万5522股,或相等于50.18%股权,因此必须展开强制性全面收购剩馀的1亿3920万5595股。


截至目前为止,王子铭共间接持有来百利的4亿1694万6566股或50.097%股权。


来百利一役後,王子铭的名就时常出现於并购新闻,如今他成为多家上上市公司大股东,包括了格林欧深(GOCEAN,0074)、OPCOM控股(OPCOM,0035)、大资工业(HEXIND,0161)(前称为新志兴集团(SCH))和SWS资本(SWSCAP,7186)。


2021年2月15日,前首相敦马哈迪三儿子拿督斯里慕克力(DATO’ SERI MUKHRIZ MAHATHIR),宣布脱售手上所有OPCOM控股股权予王子铭。


也是前吉打州务大臣的慕克力,在2021年2月10日于场外脱售OPCOM控股约2463万2300股或15.276%股权给王子铭后,不再是公司大股东。


慕克力是OPCOM控股创办人之一,曾担任总裁直至2009年。


2021年3月17日,王子铭所掌控的新志兴集团易名为大资工业。


早在2018年7月24日,低调商人丹斯里高建立(TAN SRI DATO' SRI KOH KIN LIP)、CHOW DAI YING及时任新志兴集团董事KOH CHEN FOONG与LIEW FOOK MENG,以每股17仙或总值1156万令吉脱售了该公司的6800万股或13.19%股权予王子铭后,不再是该公司大股东。


KOH CHEN FOONG是高建立的儿子,而LIEW FOOK MENG则是可口控股(COCOLND,7205)执行董事。


新志兴集团当时向马来西亚交易所报备,私人投资公司THIANJING HOLDINGS私人有限公司通过场外交易脱售上述股权。随后,HEXTAR HOLDINGS向THIANJING HOLDINGS收购了一批股权。同一天,前者在公开市场增持了5万3300股。


HEXTAR HOLDINGS于2018年7月16日通过私下配售活动,以每股18.5仙或总值1110万令吉,认购新志兴集团的6000万股或12.7%股权后,崛起为其大股东。


加上上述股权,HEXTAR HOLDINGS持有新志兴集团的24.84%股权。


截至2021年3月15日为止,王子铭在大资工业的持股达1亿7173万3900股或30.91%股权。


至于SWS资本,王氏则是持有3083万6100股或14.574%股权。
